Macrovision Solutions Corporation (NASDAQ: MVSN) announced today second quarter 2008 revenues of $103.6 million, compared to $23.4 million for the second quarter of 2007.  Second quarter 2008 net income was $85.9 million compared to net income of $2.5 million for the second quarter of 2007. Diluted earnings per share for the quarter were $1.00, compared to $0.05 for the second quarter of 2007.  The Company's results for the second quarter of 2008 include the results of Gemstar–TV Guide International, Inc. ("Gemstar") from May 2, 2008, the day the Company completed the acquisition of Gemstar, to the end of the quarter.

(LG) for the European market.  The multi-year agreement includes a patent license allowing LG to incorporate interactive program guides (IPGs) in televisions and digital recorders distributed throughout Europe. LG is a global leader and technology innovator in consumer electronics.

TV Guide Online, part of Macrovision Solutions (NASDAQ: MVSN), today announced record growth in May, fueled by new products, expanded editorial coverage, and a flexible syndication platform. Macrovision Solutions Corporation (NASDAQ: MVSND) announced today first quarter 2008 revenues from continuing operations of $32.2 million, compared to $36.6 million from continuing operations for the first quarter of 2007.  US GAAP income from continuing operations, net of tax was $7.3 million compared to $7.6 million for the first quarter of 2007. Diluted GAAP earnings per share from continuing operations, net of tax for the quarter were $0.13, compared to $0.14 for the first quarter of 2007.

Macrovision Corporation (NASDAQ: MVSN) (the “Company”) today announced that at its special meeting of stockholders held earlier today, its stockholders approved the share issuance to complete the proposed acquisition of Gemstar-TV Guide (NASDAQ: GMST). Gemstar-TV Guide stockholders also approved of the sale of Gemstar-TV Guide to Macrovision at a special meeting held earlier today.

Macrovision Corporation (NASDAQ: MVSN), which is currently in the process of acquiring Gemstar-TV Guide International, Inc., today announced preliminary pro forma combined results for the first quarter 2008. On a pro forma combined company basis, as if the Gemstar-TV Guide acquisition were consummated January 1, 2008, Macrovision expects revenue to fall within a range of $150 million and $154 million.  Pro forma results exclude Macrovision’s recently sold software and games businesses and Gemstar-TV Guide’s publishing business, each of which is treated as discontinued operations in the pro forma combined results. Macrovision did not previously provide first quarter revenue estimates as a stand-alone company or on a pro forma combined company basis with Gemstar-TV Guide.

Macrovision® Corporation (NASDAQ: MVSN) today announced it has completed the divesture of its Software Business Unit to Thoma Bravo, LLC in a cash transaction valued at approximately $200 million. The divestiture results in the formation of a standalone company named Acresso Software. The transaction includes all products and associated support and services from within the Software Business Unit (notably the FLEXnet and InstallShield product lines). The divestiture of Macrovision's Games business has also been completed.

Signs Agreement to Sell Games Business
Macrovision Corporation (NASDAQ: MVSN) announced today fourth quarter 2007 revenues from continuing operations of $45.2 million, compared to $36.6 million from continuing operations for the fourth quarter of 2006.  US GAAP net income was $9.2 million compared to $16.6 million for the fourth quarter of 2006.  Diluted GAAP earnings per share for the quarter were $0.17, compared to $0.31 for the fourth quarter of 2006.  Additionally, the Company signed an agreement to sell its Games business.  As a result of the previously-announced agreement to sell the Company’s Software business and the agreement to sell the Games business, the Company has classified the results of operations for the Software and Games businesses as discontinued operations for all periods presented in accordance with US GAAP.

Thoma Cressey Bravo and Macrovision Corporation (NASDAQ: MVSN) today announced that an affiliate of TCB has entered into a definitive agreement with Macrovision Corporation to acquire Macrovision’s Software Business Unit in a cash transaction valued at approximately $200 million.  The transaction is subject to customary conditions to closing, including review under the Hart-Scott-Rodino Antitrust Improvements Act, and is expected to close on or before April 1, 2008.  The completion of the transaction is not subject to Macrovision stockholder approval.

(NASDAQ: GMST) today announced that the Federal Trade Commission and the Department of Justice granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act relating to the proposed merger between Macrovision and Gemstar-TV Guide. The proposed merger remains subject to other customary closing conditions, including the approval of certain matters by Macrovision and Gemstar-TV Guide stockholders. Early termination of the waiting period ends the U.S. government’s antitrust review of the transaction.
